TERMS AND CONDITIONS OF SALE
These terms and conditions describe the basis for the purchase by you and sale by us of lighting products described in this website. By placing orders over this site you agree to be bound by these terms and conditions.
1. Formation of Agreement
Lighting's supply of products for orders placed by you through this site is subject to these terms and conditions, which may be amended from time to time by GELI.
An order placed by you shall be deemed to be an offer, which GELI may or may not accept. GELI shall make a communication to you either by telephone or electronic mail within 48 hours of such offer, either accepting or rejecting your offer. Please not that GELI is not bound to accept any offer
made and reserves the right to reject any offer so made.
2. Goods Not Available
If the goods are not available for any reason after an order has been accepted by us we shall tell you this by e-mail, shall
not charge you for them and shall refund any money already paid (if any) as soon as possible and in any case within thirty
(30) days. For avoidance of doubt, the order between you and us for the supply of such goods shall terminate immediately
without penalty and we shall be under no obligation to supply the goods to you.
3. Payment
We shall accept cash, credit card for payment on delivery of the products. We will take all reasonable care to keep your order secure, but in the absence of our sole negligence (and subject to paragraph 11 below), we cannot be held
liable for any loss you may suffer if a third party obtains unauthorised access to any data, including credit and account
details, you provide when accessing or ordering from this site.
4. Delivery Dates
Unless we specify otherwise, delivery of goods ordered will be made within 2 working days of our accepting your order.However, all delivery dates given are approximate only and we shall not be liable, in any way, for late delivery. You may
however refuse delivery and/or return the goods to us (at our cost) if delivery takes longer than thirty (30) days. We shall
refund to you the sum paid for the goods as soon as possible and in any case within thirty (30) days of return.
5. Delivery
Delivery shall be made to address within the city of Bangalore only. Unless you specify otherwise, we may, at our discretion and expense, deliver parts of your order separately. If any goods are lost in transit or there is a shortfall in
the quantity delivered, we shall make good such non-delivery or shortfall provided you notify us of such claim within 14 days
of receipt of the goods or the scheduled date of delivery (whichever is earlier).
6. Delivery Address
We shall deliver the goods to the address you specify for delivery when you submit your order. It is important that this
address is accurate.
7. Ownership
You take risk and responsibility for the goods ordered at the point of delivery. However, title in the goods shall remain vested in us until we have received cleared payment in full. If we do not receive cleared payment, we are entitled at any
time to repossess the goods and/or maintain an action for the price of the goods.
8. Descriptions and Illustrations
All descriptions and illustrations and particulars of weights and dimensions provided over the site or otherwise issued by us
in catalogues, price lists, advertising matter or otherwise, are by way of general description and are approximate only. We
are continually improving our products and so we may change descriptions, illustrations and other particulars included on the site without notice. Note, however, that you will not be required to accept goods, which do not meet their specification (see
clause 10).
9. Performance
Any performance figures that we give are based on our experience but are estimates only and are not guaranteed. We shall have
no liability for failure to attain such figures.
10. Warranty
We warrant to you that the goods supplied will, for a period of three (3) months from the date of delivery, be of a
Satisfactory quality. However, we shall not be liable for any defect in the goods, which are caused by fair wear and tear, abnormal, or unsuitable
Conditions of storage or use or an act, neglect or default on your part. Except as set out in this agreement, all conditions, warranties and representations, expressed or implied by (i) statute,
(ii) common law or (iii) otherwise, in relation to any goods supplied are excluded to the extent permitted by law.
11. Liability
We are not liable to you, whether for negligence, breach of contract, misrepresentation or otherwise, for:
(a) loss or damage incurred by you as a result of third party claims; or
(b) direct, indirect or consequential damage suffered by you, including, without limitation, loss of profit, goodwill, business opportunity or anticipated saving. Our entire liability to you under or in connection with the supply of the goods, whether for negligence, breach of contract,
Misrepresentation or otherwise, is limited, in respect of each event or series of connected events to the cost of the defective, damaged or undelivered goods which give rise to such liability (as set out in paragraph 12 below). In no event shall GELI, its affiliates, employees, directors, agents, representatives and officers be liable for any direct,
indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation,
Damages for loss of use or profits, arising out of or in any way connected with the use of products supplied by GELI whether based on contract, tort, negligence, strict laibility or otherwise, even if GELI or any of its suppliers has been advised of the possibility of damages. However, nothing in this agreement shall operate to exclude or restrict our liability for death or personal injury resulting
from our negligence. Furthermore, nothing in this agreement affects your statutory rights as a consumer.
12. Exchange or Refund
If any goods are defective or damaged we shall replace or repair such goods (at our cost) or refund to you the amount paid by
you for such goods, provided you notify us of such defect within thirty (30) days of delivery. You should therefore check the Quality of the goods (and in particular check that they are not damaged or defective) immediately on delivery. Damaged or
defective goods must be returned to us and we shall re-imburse you for the direct return charges. The decision of whether to
replace, repair or refund you the amount paid for such defective or damaged goods is in our complete discretion. Even if the goods are not defective or damaged you have 7 days to withdraw from the contract, after the goods have been
received without penalty, provided you return the goods to us in their original condition. The only costs payable by you
shall be the direct return charges. This right will lapse if the goods have been removed from their original packaging. We
shall refund you the amount paid for the goods as soon as possible and in any event within thirty (30) days of their return. All goods which are returned should be in their original condition and packaging and should be packed in a sturdy box for Posting. They should be returned with a completed returns form (which is available from customer services) and with your
receipt. We recommend that you return goods by registered or recorded mail as we cannot repair, replace or provide a refund
for goods which are lost in transit.
13. Matters Out of Our Control
We shall not be liable to you for any breach of the terms and conditions set out hereunder, for delay, or failure to perform if this is due to a cause beyond our reasonable control.
14. Notices
Any notice, invoice or other document which may be given by either party may be given by post, fax or e-mail to the address notified to the other. It is therefore important that you specify your address, fax number and/or e-mail address to us.Any communication shall be deemed to have been made to the other party if by post four (4) days from the date of posting and
if by fax at the time of transmission provided the fax was not received in a garbled form. Any communication by e-mail shall
be deemed to have been made on the day the e-mail is first received in the other party's electronic mailbox (except as set out in paragraph 1 above).
15. Failure to Enforce
If we fail to exercise or enforce a right that failure will not preclude us from exercising or enforcing other rights, or the
same type of right, on a later occasion.
16. Entire Agreement
Any modification to these terms and conditions, or any order by you shall be subject to the acceptance of both parties in the
manner set out in paragraph 14 above. These terms and conditions contain the entire terms and conditions for supply of
products ordered by you and any modification to the same shall not be valid unless made in the manner set out in the above paragraph
17. Unenforceability
The invalidity, illegality or unenforceability of the whole or part of these terms and conditions does not affect or impair
the continuation in force of the remainder of the terms.

19. Governing Law
The supply of products to you by GELI shall be governed by the laws of India and any disputes that may arise shall be subject
to the exclusive jurisdiction of the Courts in the Bangalore Urban District.
20. Privacy
Personal data about you will be collected, processed and used by us for the purpose of providing this service and
facilitating the orders you place. The personal data collected may also be used for marketing purposes and may be disclosed
to selected third parties (including advertisers and suppliers) for such purposes. Occasionally, we may also send you e-mails
or other communications with information about our products or services or offerings from affiliates or third parties that
may be of interest to you. If you object to use of your personal data for such marketing purposes, please Contact Us.Note that Lighting is a global business and so your personal data may be transferred to, processed and held in the United
States and in other countries by our affiliated or associated companies for the purpose of fulfilling your requests as well
as offering you other products and services which may be of interest to you.At times, we may conduct online surveys to better understand the needs, profiles and experience of our visitors and we may
also provide for a feedback process on the Site. You can of course choose whether to participate in such surveys and feed back exercises. Any information which you provide will be taken seriously, but it is ultimately in our absolute discretion
whether to take action (and if so what action) in response to suggestions and/or other information provided.
